1. Agreement to Terms

By accessing or using any product or service provided by Chiwa Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our products.

2. Description of Products

Chiwa Labs builds and operates software-as-a-service (SaaS) products and digital tools. Each product may have additional terms specific to its functionality, which will be presented to you when you sign up or subscribe. These product-specific terms are incorporated into and form part of these Terms of Service.

3. Accounts

To use our products, you may need to create an account. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the security of your account credentials.
  • All activity that occurs under your account.

You must notify us immediately at hello@chiwalabs.com if you suspect unauthorized access to your account.

4. Subscriptions and Payment

  • Our products are offered on a subscription basis with recurring billing (monthly or annual, depending on the plan you choose).
  • By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
  • Payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service.
  • Prices may change with reasonable advance notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Free Trials

We may offer free trials for certain products. At the end of a trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. We will clearly communicate trial terms before you sign up.

6. License and Usage

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our products for their intended purpose, subject to these terms. You may not:

  • Copy, modify, distribute, or reverse engineer any part of our products.
  • Use our products for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Resell, sublicense, or provide access to our products to third parties without our written consent.

7. Intellectual Property

All content, features, and functionality of our products — including software, text, graphics, logos, and design — are owned by Chiwa Labs and are protected by intellectual property laws. Your subscription grants you access to use the products, not ownership of any intellectual property.

8. Data

You retain ownership of any data you upload or create using our products. We will not access, use, or share your data except as necessary to provide and improve our services, or as described in our Privacy Policy.

9. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the product ceases, and we may delete your account data after a reasonable retention period.

10. Limitation of Liability

To the maximum extent permitted by law, Chiwa Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our products. Our total liability shall not exceed the total amount you paid us in the 12 months preceding the claim.

11. Warranties

Our products are provided on an "as is" and "as available" basis. While we strive for high uptime and reliability, we do not warrant that our products will be error-free, uninterrupted, or free of security vulnerabilities.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Wyoming. Any disputes arising from these terms or our products shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

13. Changes to These Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated "Last updated" date. We will notify active subscribers of material changes via email. Your continued use of our products after changes are posted constitutes acceptance of the modified terms.
